1. Preamble and Scope

1.1. This document, called the Terms and Conditions ("Terms"), governs the relationship between jCube Web SRL, registered in the Republic of Moldova under registration number 1022600054440, and business customers ("Customer"), as well as any user registered on booklyease.md. Booklyease provides services on a SaaS model (the "Services"), delivered via the Booklyease applications.

1.2. The Customer's access to and use of the Services is subject to the Customer's acceptance of and compliance with these Terms. These Terms apply to all visitors, users, partners, and other persons who access or use the Services. By clicking the "Accept" button or by using the Services, you agree to comply with these Terms.

2. Terms and Definitions

2.1. "Account" – a user registered in the Booklyease system with a unique email address or single sign-on (SSO) authentication. A single Account may create or belong to multiple Spaces for your projects and may invite other accounts to such Spaces using their account identifier.

2.2. "Account Identifier" – a unique identifier for a specific account (system-generated identifier, SSO identifier, or email address).

2.3. "Application" – a mobile application that extends the functionality of Booklyease.

2.4. "Integrations and Apps" – the platform where apps from Booklyease or third parties are offered.

2.5. "Billing Cycle" – the period covered by a single Booklyease invoice for the customer.

2.6. "Client Content" – content published, provided, or transmitted by the customer to Booklyease in connection with the use of the Services.

2.7. "Documentation" – help center instructions in printed or digital format, technical documentation, and user guides for using the Booklyease services.

2.8. "Order Form" – a document containing the commercial details of the agreement between the parties.

2.9. "Registration" – the full process by which the customer provides the necessary information about their identity and confirms it, if required, during the creation of an account in the Booklyease application.

2.10. "Self-service Subscription" – a subscription made by customers who subscribe to Booklyease services through the Booklyease self-service system (booklyease.md).

2.11. "Services" – the SaaS content management system (including Booklyease APIs and documentation) and updates provided by Booklyease.

2.12. "Spaces" – a content repository with its own components, data sources, assets, environments, domains, accounts, and permissions.

2.13. "Subscription" – any use of Booklyease services under a recurring paid period with automatic renewal.

2.14. "Third-Party App" – an app created by a Booklyease-registered partner, for which Booklyease has no responsibility or liability.

2.15. "User" – any person who uses Booklyease services and is registered on booklyease.md.

3. Account Registration and Customer Responsibilities

3.1. After accepting the Terms, the Customer has the right to register a Booklyease account by providing a valid email address and a password.

3.2. Booklyease confirms the registration via an automatic e-mail. Access to the Services is granted after confirmation.

3.3. The Customer is granted a non-exclusive license to use the Services, subject to full payment of the Subscription.

3.4. The Customer is responsible for the security of their password and access credentials and must notify Booklyease of any breaches at [email protected].

3.5. The Customer is responsible for:

  • Using the Services via an Account;
  • Complying with Law no. 133/2011 on the protection of personal data;
  • The accuracy and legality of Client Content;
  • Complying with the laws of the Republic of Moldova, including intellectual property rights and the prohibition of unfair competition;
  • Backing up their data;
  • Using the current version of the API or SDK.

3.6. The Customer is prohibited from acting as a commercial reseller of Booklyease.

3.7. Booklyease may suspend the Customer's access in case of violation of the Terms.

4. Formation of Contracts

4.1. This document, together with any Order Form or other agreement signed between the customer and Booklyease, constitutes the entire agreement between the parties regarding the use of Booklyease services (the "Agreement"). In case of conflict between these Terms and an Order Form, the Order Form shall prevail.

4.2. The Agreement becomes effective upon the customer's acceptance of these Terms, confirmed by account registration, clicking the "Accept" button, or starting to use the Booklyease services. The Customer confirms they have the authority to enter into the Agreement on behalf of a legal entity or as an individual.

4.3. Booklyease reserves the right to refuse to enter into the Agreement or provide Services without giving reasons, provided this does not contravene the laws of the Republic of Moldova.

4.4. Any additional agreements or amendments to the Agreement must be formalized in writing or via electronic means provided by the Booklyease platform and agreed by both parties.

4.5. The Customer agrees that the use of Services via Subscription or Self-service is governed by the terms specified in the Order Form as well as these Terms, including provisions related to payments and termination.

5. Subscription – Pricing/Payments – Changes – Refund Policy

5.1. Booklyease Services are provided by subscription, which implies recurring payments according to the pricing plan selected, specified on booklyease.md or in the Order Form. All prices are indicated in Moldovan Leu (MDL) unless otherwise stated and do not include taxes that may be applied under the laws of the Republic of Moldova.

5.2. Listed prices do not include applicable taxes such as VAT, which may be added to the payment amount in accordance with Moldovan legislation. Our payment gateways comply with PCI DSS standards to ensure transaction security. The Customer is responsible for paying any applicable taxes.

5.3. The Customer agrees to pay the subscription on time using the payment systems integrated into the Booklyease platform. Payment is made by bank cards or other methods available on the site. Payment process details are described in section 6 ("Payment").

5.4. Currency conversion: If the Customer's card currency differs from the transaction currency (MDL), the amount charged to the card may vary depending on the conversion rate set by the issuing bank. Booklyease is not responsible for additional currency conversion costs.

5.5. Booklyease reserves the right to modify subscription prices or introduce new pricing plans. Customers will be notified of such changes at least 30 days before they take effect by email or platform notification. Continued use of the Services after changes take effect implies the Customer's agreement to the new prices.

5.6. Refund policy: The Customer has the right to request a refund for a subscription within 14 days from the payment date, in accordance with Law no. 105/2003 on consumer protection of the Republic of Moldova, provided the Services have not been used substantially. Refunds are issued only to the bank card used for payment. To request a refund, the Customer must contact [email protected] and provide transaction details.

5.7. Refunds are not granted for subscriptions that have been used fully or partially, including activated features, integrations, or custom settings. Booklyease reserves the right to refuse a refund if the request does not comply with the law or these Terms.

5.8. In case of non-payment or delayed payment, Booklyease has the right to suspend the Customer's access to the Services until full settlement of the debt. If the debt is not settled within 30 days, Booklyease may terminate the Agreement unilaterally.

6. Payment

6.1. Payment for Booklyease services is made through integrated payment systems that accept bank cards (Visa, Mastercard, and others). The Customer must provide valid payment details, including the card number (16 digits), expiration date, CVV/CVC code (3 digits), and cardholder name, to process transactions in accordance with security requirements.

6.2. Payment security: All transactions are processed through certified payment gateways that use 3D-Secure for additional authentication and comply with PCI DSS standards. Card data is transmitted encrypted and is not stored on Booklyease servers, ensuring protection against unauthorized access.

6.3. Payment confirmation: After a successful payment, the Customer receives a payment confirmation by the email provided at registration. The confirmation includes the amount, transaction date, and order details. The Customer is obliged to check the details and report any discrepancies to [email protected] within 7 days.

6.4. Automatic payment: Subscriptions involve automatic debiting of funds from the Customer's bank card at the beginning of each billing cycle. The Customer agrees to automatic payment by selecting the pricing plan and providing payment details. Disabling automatic payments or changing payment details is possible via account settings on booklyease.md or by requesting [email protected].

6.5. In case of payment rejection, the Customer will be notified via the platform or email. Booklyease is not responsible for errors in payment systems or banks that prevent the transaction.

6.6. All payments are made in Moldovan Leu (MDL), unless otherwise specified. If the card currency differs from MDL, the charged amount depends on the issuing bank's conversion rate. The Customer is responsible for any currency conversion fees.

6.7. Booklyease reserves the right to suspend or limit access to Services in case of failed debit attempts or the Customer's breach of payment obligations.

7. Self-service

7.1. Booklyease services are available through the self-service system on booklyease.md, which allows the Customer to independently select a pricing plan, subscribe, add or remove features, and manage account settings without direct interaction with Booklyease representatives.

7.2. The Customer must provide accurate and up-to-date information during registration and payment, including a valid email address and payment details. Booklyease is not responsible for errors, delays, or access restrictions caused by incorrect information.

7.3. Within the self-service system, the Customer can change the pricing plan, enable or disable features, or cancel the subscription at any time via account settings on booklyease.md. Changes take effect at the start of the next billing cycle unless otherwise specified.

7.4. Booklyease provides access to documentation, reference materials, and user guides on booklyease.md to support customers in using the self-service system. Additional technical support is available at [email protected] during business hours (Monday–Friday, 9:00–17:00, excluding public holidays).

7.5. The Customer using self-service bears full responsibility for complying with these Terms, including timely payment and lawful use of the Services. Booklyease reserves the right to suspend or terminate access to the Services in case of breach, notifying the Customer by email.

8. Free Trial

8.1. Booklyease may offer Customers the ability to use the Services under a free trial for a limited period, specified on booklyease.md. The free trial includes an unrestricted set of features as described on the website and is provided at Booklyease's discretion.

8.2. To activate the free trial, the Customer must register an account on booklyease.md using a valid email address. Associating a bank card or providing payment details is not required.

8.3. At the end of the free trial, access to the Services will cease if the Customer does not select a paid plan and provide payment details to activate a subscription. Automatic charging does not occur because payment details are not collected.

8.4. The Customer may stop using the free trial at any time without financial obligations by deleting the account through account settings on booklyease.md or contacting [email protected].

8.5. Booklyease reserves the right to modify the terms, duration, or availability of the free trial without prior notice. Updates are posted on booklyease.md.

8.6. During the free trial, the Customer must comply with these Terms, including provisions on lawful use of the Services and personal data protection. Booklyease may suspend access to the free trial for violations.

9. Booklyease Services

9.1. Booklyease provides SaaS services, including a content management system, APIs, a mobile app, and tools for online bookings and appointments, as described on booklyease.md and in the documentation.

9.2. Access to the Services is provided immediately after account registration and subscription payment, except in cases of technical failures or force majeure. Booklyease notifies the Customer of delays via the email specified in the account.

9.3. Services include configuring Spaces for the Customer's projects, as well as integrations and apps provided by Booklyease or third-party partners. The Customer is responsible for using integrations in accordance with these Terms and applicable law.

9.4. Booklyease periodically updates the Services, including bug fixes and adding new features, at no extra cost within an active subscription. Customers are notified of major updates via booklyease.md or email.

9.5. The Customer is required to use the current version of the API or SDK to ensure compatibility and security. Booklyease may discontinue support for outdated versions, notifying the Customer 30 days in advance.

9.6. Booklyease strives to ensure service availability at a 99.9% level (SLA) but does not guarantee uninterrupted 100% operation due to possible technical failures. Notifications about scheduled maintenance are published on booklyease.md.

9.7. Booklyease may suspend service delivery if the Customer breaches these Terms, including non-payment or illegal use.

10. Intellectual Property

10.1. All materials, content, and software available through Booklyease services, including text, graphics, logos, code, APIs, documentation, and design, are protected by copyright, trademarks, and other intellectual property rights owned by jCube Web SRL or licensed from third parties.

10.2. The Customer agrees not to copy, modify, distribute, sell, rent, or otherwise exploit Booklyease's protected materials without jCube Web SRL's express written permission, except as permitted by these Terms.

10.3. The Customer retains rights to Client Content uploaded or created while using Booklyease services. The Customer grants Booklyease a non-exclusive, worldwide, royalty-free license to use, store, reproduce, and process Client Content solely for the purpose of providing the Services.

10.4. In case of suspected intellectual property infringement, the Customer or a third party may send a notice to [email protected] specifying:

  • A description of the protected material and the alleged infringement;
  • Evidence of ownership of the material;
  • The claimant's contact details;
  • A statement of good-faith belief and the accuracy of the information.

10.5. Booklyease will review infringement notices in accordance with Law no. 133/2011 on the protection of personal data and other laws of the Republic of Moldova. If infringement is confirmed, Booklyease may remove the disputed content or suspend the Customer's account.

10.6. Booklyease reserves the right to immediately suspend the Customer's access to the Services in case of repeated or serious intellectual property infringements without prior notice.

11.1. Booklyease services may contain links to websites, applications, or third-party resources that are not controlled or owned by Booklyease. Booklyease is not responsible for the content, availability, or accuracy of these resources.

11.2. The Customer uses third-party resources at their own risk. Booklyease does not guarantee their security, legality, or compliance with the Customer's expectations.

11.3. The presence of links to third-party resources does not imply endorsement or sponsorship by Booklyease.

12. Termination of the Agreement

12.1. The Customer may terminate the Agreement by canceling the subscription through account settings on booklyease.md. Cancellation takes effect at the end of the current billing cycle.

12.2. Booklyease may terminate the Agreement in case of the Customer's breach of these Terms, including non-payment, illegal use of the Services, or infringement of intellectual property rights, notifying the Customer by email.

12.3. Upon termination of the Agreement, access to the Services ceases, and Client Content may be deleted 30 days after the subscription expires unless otherwise specified.

12.4. Refunds upon termination are governed by section 5 ("Refund Policy"). After termination, the parties' obligations cease, except for provisions that remain in force (for example, intellectual property).

13. Warranties

13.1. Booklyease services are provided "as is" without express or implied warranties, including warranties of fitness for a particular purpose or absence of defects.

13.2. Booklyease does not guarantee uninterrupted operation of the Services, compatibility with the Customer's equipment, or absence of technical defects.

13.3. The Customer uses the Services at their own risk, independently assessing their suitability for their needs.

14. Liability

14.1. Booklyease is not liable for indirect, incidental, special, or consequential damages, including lost profits, arising from the use of the Services.

14.2. Booklyease's total liability to the Customer is limited to the amount paid by the Customer for Services in the 12 months preceding the claim or 1000 MDL, whichever is lower.

14.3. The Customer is liable for any damages caused by breach of these Terms, including illegal use of the Services or infringement of third-party rights.

15. Governing Law and Jurisdiction

15.1. This document and any disputes related to the use of Booklyease Services are governed by the laws of the Republic of Moldova, including Law no. 105/2003 on consumer protection and Law no. 284/2004 on electronic commerce.

15.2. All disputes arising from these Terms or the Services will be resolved by the competent courts of the Republic of Moldova located in Chișinău.

16. Miscellaneous

16.1. Modification of Terms: Booklyease reserves the right to update these Terms, notifying the Customer via booklyease.md or by email at least 30 days before changes take effect. Continued use of the Services after changes take effect constitutes the Customer's acceptance of the new Terms.

16.2. Force majeure: Booklyease is not liable for failure to perform obligations caused by force majeure, including natural disasters, wars, cyberattacks, power outages, or actions of governmental authorities.

16.3. If a provision of these Terms is found to be invalid or unenforceable, it does not affect the validity of the remaining provisions, which remain in force.

16.4. These Terms constitute the entire agreement between Booklyease and the Customer regarding the use of the Services and supersede any prior agreements.
